1. Who We Are

Fidus Voice, Inc. ("Fidus Voice", "we", "us", or "our") is a corporation incorporated in Delaware, USA. We operate the Fidus Voice platform — an AI-powered speaking and listening coach — accessible at fidusvoice.com and its subdomains (the "Service").

2. Acceptance of Terms

By creating an account or using the Service you confirm that you have read, understood, and agree to these Terms of Use and our Privacy Policy. If you do not agree, you must not use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. Your rights under applicable law (including GDPR and UK GDPR) are not affected by any change to these Terms.

3. Eligibility

You must be at least 16 years old to use the Service. By registering, you represent and warrant that you meet this age requirement. If you become aware that someone under 16 has created an account, please notify us at legal@fidusvoice.com and we will delete it promptly.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use at support@fidusvoice.com.

You may not share, sell, or transfer your account to any other person.

5. Recording Consent — Your Legal Responsibility

Recording laws vary by jurisdiction. Many countries and US states require the consent of all parties being recorded before any recording may be made (commonly known as "all-party" or "two-party" consent laws). These include, without limitation, California, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington in the United States, as well as the United Kingdom and many EU/EEA member states.

By using any feature of the Service that captures third-party speech, you represent, warrant, and agree that:

• You have obtained the informed consent of every individual whose speech will be captured;
• You have disclosed that their speech will be processed by AI services (including Deepgram and OpenAI/Anthropic);
• You are solely and fully responsible for complying with all applicable recording, wiretapping, and privacy laws in your jurisdiction and in the jurisdiction of all recorded parties;
• Fidus Voice is not liable for any claim, penalty, or loss arising from your failure to obtain such consent.

You agree to indemnify and hold harmless Fidus Voice, its officers, directors, employees, and agents from any claim, liability, damage, or expense (including legal fees) arising out of your unlawful recording of any third party.

6. AI Coaching — Limitations and Disclaimers

The Service uses artificial intelligence to generate real-time coaching cues, session reports, and recommendations. You acknowledge that:

• AI outputs are generated automatically and may contain errors, inaccuracies, or inappropriate suggestions;
• AI coaching is a practice aid — it does not constitute professional advice of any kind (including legal, medical, psychological, career, or financial advice);
• You should exercise your own judgement when acting on any AI-generated content;
• We do not use your speech, transcripts, or session data to train any AI model.

7. Acceptable Use

You agree not to use the Service to:

• Record any person without their knowledge and consent;
• Surveil, harass, defame, or harm any individual;
• Violate any applicable law or regulation;
• Violate any confidentiality or non-disclosure obligation you are subject to;
• Reverse-engineer, decompile, or attempt to extract source code from the Service;
• Scrape, crawl, or systematically download content from the Service;
• Use the Service to develop a competing product;
• Introduce malicious code, viruses, or disruptive data into the Service.

Violation of this section may result in immediate account termination without refund.

8. Subscription, Payment, and Refunds

The Service is offered on a free tier and a paid Pro subscription. Pro subscriptions are billed on a monthly or annual basis via Stripe. All prices are displayed in USD and are exclusive of any applicable taxes.

No refunds. All subscription payments are final and non-refundable. If you cancel your subscription, you will retain access to Pro features until the end of your current billing period, after which your account will revert to the free tier. No partial-period refunds are provided.

We may change subscription prices upon 30 days' notice. Continued use after the price change takes effect constitutes your acceptance of the new pricing.

9. Intellectual Property

Fidus Voice IP. The Service, including its code, design, branding, and AI models, is owned by Fidus Voice, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our prior written consent.

Your content. You retain ownership of all content you create using the Service, including session transcripts, uploaded documents, and session reports ("Your Content"). You grant us a limited, non-exclusive, royalty-free licence to process and store Your Content solely to provide the Service to you. We will not use Your Content for any other purpose.

10. Termination

You may delete your account at any time via Settings → Account → Delete Account. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

We may suspend or terminate your account immediately, without notice, if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranty of any kind;
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components;
• We are not liable for any indirect, incidental, special, consequential, or punitive damages;
• Our total aggregate liability to you for any claims arising from or related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Third-Party Services

The Service integrates with third-party providers including Deepgram (speech processing), OpenAI or Anthropic (AI coaching and reports), and Stripe (payments). Your use of these integrations is also subject to those providers' terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Delaware.

If you are a consumer resident in the European Union or United Kingdom, nothing in this clause affects any mandatory consumer protection rights you have under the law of your country of residence. EU residents retain the right to bring proceedings in their local courts.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fidus Voice regarding the Service.
